1. Introduction

QuickTake Health Co. (“QuickTake,” the “Company,” “we,” “our,” or “us”) is a health technology company pioneering self-service kiosk automation for senior living communities, athletic programs, health clubs and care providers. We use medical-grade measurement technology with engaging digital experiences, to provide seamless and simplified processes for review, evaluation, diagnosis and treatment of your health. We respect your privacy and are committed to protecting it through our compliance with this Privacy Policy.

This Privacy Policy describes the types of information we may collect from you (“you”, “your”, or “User”, and together with other users of the Kiosk, “Users”) when you use our QuickTake automated self-service kiosk (the “Kiosk”), the QuickTake website located at www.quicktakehealth.com (the “Website”), the QuickTake application (the “App”), and any other products or services provided or operated by QuickTake (such products or services, together with the Kiosk, Website, and App, are collectively referred to as the “Services”) and our practices for how we use and store that information, with whom we share it, what rights you have regarding your information and how to contact us to exercise these rights.

This Privacy Policy applies to all Personal Data and other information we collect about you or that you may provide us in connection with your access and use of the Services, including without limitation communications (including texts, emails, chat, QR codes, and other electronic messages) between you and the Services in which you may provide Personal Data to QuickTake (defined below).

This Privacy Policy does not apply to: (1) information collected by any third party, including any third-party link that may be accessible from our Services, and (2) any third-party software or applications that integrate with our Services.

This Privacy Policy is part of our Terms of Use and Service (“Terms of Use”). Unless otherwise defined in this Privacy Policy, capitalized terms used in this Privacy Policy have the same meanings set forth in the Terms of Use, available at www.quicktakehealth.com/termsofuse.

Please read this Privacy Policy carefully to understand our policies and practices regarding your Personal Data and how we will treat it. “Personal Data” means PHI (defined below), Biometric Data (defined below, PII (defined below), and other personally identifiable information that can be used to personally identify you, directly or indirectly, including, but not limited to, your email address, name, telephone number, company name, any form of identification number, or one or more factors specific to your physical, physiological, mental, economic, cultural, or social identity.

If you do not agree with our policies and practices, including this Privacy Policy and our Terms of Use, please do not access or use our Services. By interacting with, accessing, or using any of the Services or providing us with your information, you explicitly agree to the terms of this Privacy Policy and the Terms of Use, including the collection, use, and sharing of your information as described in this Privacy Policy.

2. Updates to Privacy Policy

We may update our Privacy Policy periodically to reflect changes in our privacy and information collection and use practices. If we choose to collect or use information in other ways, we may amend this Privacy Policy, and we will notify you of any updates or changes to this Privacy Policy by posting a notice on the Kiosk and on the App’s or Website’s home page or by email to the email address you provided to us when registering an account with us. Your continued access and use of our Services after we make any changes to this Privacy Policy will be deemed to be acceptance of those changes, so please check the policy periodically for updates.

The date the Privacy Policy was last revised is identified at the top of the page. You are responsible for periodically visiting our Website or the App and this Privacy Policy to check for any changes.

3. Information QuickTake Collects

We collect the following information when you access and use the Services:

  • Health Information and Biometric Data. This includes information relating to your health and any medical conditions you may have (including your medical history), as well as one or more of the following biometric identifiers about you (collectively, “Biometric Data”): vital signs, weight, height, body mass index (BMI), heart rate, temperature, pulse oximetry (SpO₂), blood pressure (if applicable), fingerprints, retina, iris or hand scans, voiceprint, face geometry, and any other measurable human biological or behavioral characteristic used to identify a specific individual.
  • Personally Identifiable Information. This includes information by which you can be personally identified, and which identifies, relates to, or describes, directly or indirectly, you as an individual, such as your name, mailing address, email address, birth date, phone number, employment information, payment information, and other personally identifiable information (collectively, “PII”), that you provide to us by accessing, registering or using the Services or through correspondence (by phone, text, electronic email or otherwise) through the Services or otherwise between you and QuickTake.
  • Facial Recognition. We may use photographs of your face, such as “selfies” taken while using the Kiosk or App, or photos on forms of identification (e.g., driver’s license, employee badges, or other identification cards) for the purpose of identifying the users of the Kiosk. Our facial recognition technology involves analyzing certain data points from your uploaded photo that is stored on our encrypted cloud servers.
  • Technical Information and Usage/Analytics. We may collect technical information and usage and analytics, including without limitation, browser type and version (e.g., Internet Explorer, Firefox, Chrome, Safari), operating system (e.g., Windows, Macintosh), your Internet Service Provider (“ISP”), your device’s Internet Protocol (“IP”) address (or other device identifier), device type, time zone setting, Internet domain (e.g., Gmail, Outlook), URLs visited, and previous activity on the Website or App.
  • Location Information. When using the Website or App, QuickTake may collect information about Users’ location. We collect location information only from Users who have agreed to provide that information. We use this information to identify where data was collected. We may also use this information for technical administration of the Website and App, including to monitor and analyze use of the Website and App, to increase the functionality and user-friendliness of the Website and App, and to better tailor the Website and App to Users’ needs.

Some of the information identified above, including Biometric Data, health information, and geolocation information may be considered sensitive data under certain laws. If required under applicable law, we will collect and process sensitive Personal Data only with your consent. If you choose not to provide or allow us to collect some information, we may not be able to provide you with some or all of the requested Services.

We collect the information described above in the following manners: either (a) directly from you when you provide us information by registering, accessing and/or using any of the Services (e.g., by uploading your photo or creating an account through any of the Services) or inquiring, requesting information or otherwise communicating with us about any of the Services; and (b) automatically through automatic data collection technologies.

The technologies we use for automatic data collection may include, but is not limited to:

  • With respect to the Kiosk, we automatically collect certain Biometric Data using non-invasive sensors, advanced camera technology, and facial recognition.
  • When using the Website, we may use cookies to automatically collect certain Personal Data or other information. A cookie is a small file placed on the hard drive of your computer. It is used to distinguish you from other users, and it helps us to analyze the Website’s use in order to customize and improve the content and the layout of the Website. You may refuse to accept browser cookies by activating the appropriate setting on your browser. However, if you select this setting you may be unable to access certain parts of our Website. Unless you have adjusted your browser setting so that it will refuse cookies, our system will issue cookies when you direct your browser to our Website.

Information that we automatically collect may include:

  • IP addresses,
  • operating system,
  • browser type,
  • geolocation,
  • information collected through cookies, and
  • details of your interactions with and usage of our Services (such as traffic data, location data, logs).

4. How We Use Your Information

We use your Personal Data according to the terms of the Privacy Policy and Terms of Use in effect at the time of use.

We collect and use your Personal Data, including Biometric Data, to provide the services offered by the Kiosk, Website and App, including to facilitate health wellness monitoring, care coordination, and clinical evaluation by your health care providers so that they can evaluate, diagnose and treat you based on the information we collect. For example, QuickTake and/or our customers may use software to organize and summarize the health information that we collect when you use the Kiosk to generate a report that is then provided to your health care provider.

We use facial recognition technology to securely identify you and ensure your Personal Data is linked to the correct medical record when using the Kiosk.

We may use the Personal Data you give us for our legitimate commercial interests including, but not limited to:

  • Ensure that the Kiosk, Website, App, and other Services are functioning correctly and securely.
  • Measure and improve the quality and scope of our services or operations. For example, we may use health information to review the quality of our reports and assess how well the Kiosk’s clinical impressions correspond to the diagnoses ultimately reached by your healthcare provider.
  • Respond to your inquiries and to provide you with the information, products, and services that you request from us.
  • Register User accounts.
  • Fulfill any other purpose for which you provide it.
  • Carry out our obligations and enforce our rights arising from any contracts entered into between you and us, including for billing and collection, or to enforce or apply our Terms of Use and other agreements you have entered into by accessing or using any of the Services.
  • Contact you as necessary regarding changes to any of the Services offered through QuickTake.
  • Make service or administrative announcements to Users about new features, services, products, functionality, terms, or other aspects of the Services.
  • Perform audits, research, measurements and analyses in an effort to maintain, administer, support, enhance and protect the Services, including determining usage trends and patterns and measuring the effectiveness of content, advertising, features or services.
  • Create new features, products or services.

We may use and process any Personal Data we collect for targeted advertising and may sell de-identified data to third parties. We may also sell de-identified Personal Data that we collect to third parties.

We may use your Personal Data in any other way we may describe when you provide the information, and for any other purpose with your consent.

We are not responsible for, and do not use your information to, evaluate, diagnose or treat your health. The Kiosk and any related Services are intended to facilitate wellness monitoring and should not be used to replace evaluation, diagnosis or treatment by a licensed healthcare provider. Your medical institution and/or healthcare provider is solely responsible for the processing of your personal data for the provision of your medical treatment and care.

5. Data Sharing and Disclosure

We may share aggregated information about our Users, and information that does not identify any individual, without restriction. For example, we may remove personally identifying information (“de-identify”) from aggregate health information about many Users, including you, such that the information may be used without identifying the specific individuals involved, and then use and disclose such de-identified aggregate information for any lawful purpose, including improving and expanding our Services. We may sell, license, disclose, and/or transfer such de-identified aggregate information, or any studies, analyses, or conclusions we make from it, for profit or otherwise, to any third parties, including potential and actual customers, business partners, investors, lenders, and advisers.

We may disclose Personal Data that we collect or you provide as described in this Privacy Policy:

  • To our subsidiaries and affiliates.
  • To your health care providers or other medical personnel (including physician assistances, nurses, technicians, or medical students) for review, evaluation, diagnosis and treatment, who are bound by contractual obligations to keep Personal Data confidential and use it only for the purposes for which we disclose it to them. For example, you may ask us to forward a copy of a report about you by email to your physician, in which case we may do so. As another example, your physician may request that we send to him or her, or give him or her access to, a report or other health information we have about you, and we may honor such requests.
  • To third-party service providers (e.g., cloud storage) providing services for us or on our behalf, who have signed a HIPAA Business Associate Agreement (“BAA”) to ensure they maintain the same level of protection.
  • To a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of QuickTake’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which Personal Data held by QuickTake about our Users is among the assets transferred.
  • To fulfill the purpose for which you provide it.
  • For any other purpose disclosed by us when you provide the information.
  • With your consent.

We may also disclose your Personal Data when required by law or, if in our reasonable discretion, disclosure is required to protect our legal rights or to protect third-parties, including:

  • To comply with any court order, law, or legal process, including to respond to any government or regulatory request.
  • To resolve disputes.
  • To enforce or apply our Terms of Use and other agreements between User and QuickTake, as applicable, including for billing and collection purposes.
  • If we believe disclosure is necessary or appropriate to protect the rights, property, or safety of QuickTake, our customers, or others.

6. Data Storage and Retention

All data we collect through your access and use of the Kiosk is transmitted and stored on our secure, encrypted, and, HIPAA-compliant cloud servers.

We will retain your information, including Personal Data, described in this policy for so long as necessary to fulfill the purposes described in this Privacy Policy or for as otherwise legally permitted or required, such as maintaining the Services, operating our organization and business, complying with our legal obligations, resolving disputes, and for safety, security, and fraud prevention. This means we consider our legal and business obligations, potential risks of harm, and nature of the information when deciding how long to retain personal data. Some of your Personal Data may be archived longer in order to take into account applicable statute of limitation periods, or as otherwise required by law.

7. Children’s Privacy

The Services are not designed or intended for use by children under the age of eighteen (18). Our Terms of Use require that Users be 18 years or older in order to access and use any of the Services. We do not knowingly collect Personal Data from children under the age of 18. If you are under the age of 18, do not use or provide any information on the Kiosk, Website, App, or other Services, or through any of their respective features, or use any of the interactive features of these Services, or provide any information about yourself to us, including your name, address, telephone number, email address, or any screen name or user name you may use. If we learn we have collected or received Personal Data from a child under 18, we will delete that information. 8. Your Rights

Depending on your location and applicable law, you may have the right to:

  • Access: You may request a copy of the information we have collected about you and confirm how your Personal Data is being processed.
  • Correction: You may request that we correct any inaccurate, incomplete or outdated information about you that we maintain, taking into account the information’s nature and processing purpose.
  • Deletion: Request that we delete your Personal Data.
  • Opt-Out: You may request that we do not use your Personal Data for the purposes described in this Privacy Policy. If choosing not to use the Kiosk, alternative check-in or evaluation methods are available through office staff.

9. General Consent

By accessing or using any of the Services, you are consenting to the use of your Personal Data for the aforementioned purposes. On occasion, we may request additional consent in connection with the use or disclosure of Personal Data for a purpose not stated in this Privacy Policy, or because the law requires such consent.

10. Consent to Collect, Use, and Disclose Biometric Data

Without limiting Section 9 above, you acknowledge and agree that in order to use certain Services, we are required to collect your Biometric Data (as defined below). Specifically, you acknowledge and agree that when interacting, accessing or using the Kiosk, QuickTake will collect, capture, receive, or otherwise acquire your Biometric Data.

QuickTake may collect, use, disclose, and otherwise process your Biometric Data as necessary to facilitate health wellness and for the purposes described in Section 4 above (collectively, “Permitted Purposes”). In furtherance of these Permitted Purposes, QuickTake may also disclose your Biometric Data to our third-party service providers and to your physician or other health care provider, as described in Section 5 above. You consent to QuickTake’s collection, use, and storage of your Biometric Data for the Permitted Purposes and for any other purpose that you specifically consent to.

QuickTake may retain your Biometric Data as long as is necessary or relevant for the Permitted Purposes, which shall in no event exceed the date on which a User terminates their account and is no longer a registered User of the Services, unless we are otherwise required by law to retain such information for a longer period.

You may withdraw your consent at any time by contacting QuickTake at info@quicktakehealth.com and/or by calling (504) 710-8564. If you choose to withdraw your consent, QuickTake may be unable to provide requested services.

You acknowledge and agree that you have read and understand the terms of QuickTake’s Privacy Policy, including this Section 10 (“Consent to Collect, Use and Disclose Biometric Data”).

BY CLICKING “I AGREE TO THE USER PRIVACY TERMS DEFINED IN QUICKTAKE’S PRIVACY POLICY” you expressly consent to the collection, processing, storage, and disclosure of your Biometric Data in accordance with the terms set out in this Privacy Policy, including this Section 10.

11. Privacy Law Notice

As part of providing the Services, QuickTake collects certain demographic, health, and/or health-related information about Users that may be considered “protected health information” (“PHI”) and is therefore subject to the laws and regulations governing the use and disclosure of PHI. The Health Insurance Portability and Accountability Act (“HIPAA”), the Health Information Technology for Economic and Clinical Health of 2009 (“HITECH”), along with the regulations adopted under those statutes, and similar state laws (where those laws are more stringent than HIPAA) govern the handling of PHI. Specifically, when (a) QuickTake, acting as a “Business Associate” (as that term is defined in HIPAA) receives certain demographic, health and/or health-related information about a User from or on behalf of a “Covered Entity” (as that term is defined in HIPAA), or (ii) QuickTake, acting as a Covered Entity, shares or discloses certain demographic, health, and/or health-related information about a User to a Business Associate, this information is considered PHI.

Personal Data that a User provides to QuickTake outside of the foregoing context is not PHI. For example, when you (a) use the Website’s or App’s interactive tools and services, (b) voluntarily provide information in free-form text boxes through the Website, App, or through responses to surveys and questionnaires, (iii) provide us with device/IP address information or other technical information by visiting our Website or using our App, or (iv) send us an email or otherwise contact us directly, that information is not PHI.

HIPAA provides specific protections for the privacy and security of PHI and restricts how PHI is used and disclosed. QuickTake may only use and disclose PHI in the ways permitted by HIPAA or as authorized by the User.

12. Data Security

If you share your computer, you should log out and close your browser window after visiting the Website. This will help protect the confidentiality of your Personal Data.

You may create and register an account with QuickTake when using any of the Services. You agree to accept responsibility for all activities that occur under your account or password. You agree to notify QuickTake immediately of unauthorized use of your account or any other breach of security. We may refuse service, terminate accounts, or remove or edit content at our sole discretion.

QuickTake uses reasonable physical, electronic, and administrative safeguards to help protect the security, integrity, and confidentiality of data collected from the Kiosk, Website and App and stored in the cloud.

Except as specified in this Privacy Policy, we use commercially reasonable efforts to limit access to Personal Data to employees, third-party contractors, and authorized personnel of QuickTake who need Personal Data in order to perform their duties, and who are bound by BAAs or other legal obligations to keep Personal Data confidential and use it only for the purposes for which we disclose it to them.

We implement industry-standard security protocols, including data encryption, firewalls and intrusion detection systems. While no system is 100% secure, we believe that the measures we have implemented minimize the risk of a security breach to an appropriate level given the types of Personal Data involved. Please note that Personal Data you provide by email is unencrypted.

You agree that any transmission of Personal Data is at your own risk and acknowledge that transmission of Personal Data via the internet and to the cloud server is not completely secure and, that, although we will endeavor to protect your information, we cannot guarantee the security of Personal Data transmitted to the cloud. Once we have received your information, we will use reasonable procedures and security features to try to prevent unauthorized access.

13. California Privacy Rights

The California Consumer Privacy Act (“CCPA”) provides California residents with specific rights regarding their Personal Information, as that term is defined below. This section describes your CCPA rights and explains how to exercise those rights. Under the CCPA, “Personal Information” means information that identifies, relates to, describes, references, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with a California resident.

Effective January 1, 2020, under the CCPA, California residents have the right to:

  • Request and receive information pertaining to QuickTake data collection practices during the prior twelve (12) months, including categories of Personal Information collected, categories of sources of such information, the Business Purpose, as that is further set forth below, for collecting or sharing such information, and categories of third parties with whom such information is shared.
  • Request and receive disclosure of our information sharing practices during the prior twelve (12) months, including a list of the categories of Personal Information sold with the category of third-party recipients, and a list of the categories of Personal Information that we disclosed for a business purpose.
  • Request and receive a copy of your Personal Information collected during the prior twelve (12) months.
  • Request that we not sell your Personal Information.
  • Request that we delete your Personal Information, with certain exceptions.

Making CCPA requests.

In order to make a request for disclosure, California residents must email QuickTake at info@quicktakehealth.com. We will ask for information allowing for verification that you are the person about whom we collected Personal Information and will use that information only for that purpose. We may request that you submit a signed statement that you are the individual you claim to be. We cannot respond to your request or provide you with Personal Information if we cannot verify your identity and confirm that the Personal Information relates to you. We will acknowledge receipt of your request and will endeavor to respond within forty-five (45) days of receipt of your request. If we require more time, we will notify you of our need for additional time and may take up to an additional forty-five (45) days. We cannot respond to your request or provide you with Personal Information if we cannot verify your identity and confirm that the Personal Information relates to you.

You may make a request for disclosure of our information collection practices, the information we collected about you, or our information sharing practices twice within a twelve (12) month period, and you may make a deletion request at any time. We will attempt to respond within forty-five (45) days of receipt of your request, but if additional time is required, we will notify you and may take up to an additional forty-five (45) days.

For requests for a copy of Personal Information we have collected during the previous twelve (12) months prior to your request, we will attempt to provide the information in a format that is readily useable, including by mailing you a paper copy or providing an electronic copy to you.

If you request that your Personal Information be deleted, California law permits us to retain necessary information. We are not required to comply with a request to delete information if the information is necessary for us to detect, protect against, or prosecute security incidents, fraud, or illegal activity and to comply with legal obligations.

We will not discriminate against you as a result of the exercise of your rights.

Sale of Information.

QuickTake will not disclose Personal Information in exchange for the payment of money. We may disclose Personal Information to certain third parties as described in this Privacy Policy, as well as to our affiliates and partners who provide us with services such as helping QuickTake with advertising, data analysis, and security. This assistance may fall under the definition of “consideration” and be considered a “sale” under the CCPA. This includes identifiers, protected classifications under California or federal law including age (40 years or older) and medical condition, commercial information, internet or other similar network activity, and/or geolocation information, and other information as listed below.

We obtain the categories of Personal Information listed above from the categories of services listed in Section 3 of this Privacy Policy. We may use, sell, or disclose the Personal Information for the purposes described in Section 4 and Section 5 of this Privacy Policy, and for the Business Purposes described below.

Using an authorized agent

You may submit a request through another person who: (i) holds a formal Power of Attorney and (ii) is an authorized agent with written permission from you to make a request. You must verify your identity directly with us. We will require your agent to submit proof that he or she is authorized to make requests on your behalf.

For purposes herein, Business Purposes include, but are not limited to:

  • Internal business administration and operations, including troubleshooting, customization of the Website, enhancement or development, testing, research, administration, and operation of the Website and data analytics.
  • Creating products or services in an effort to meet client needs.
  • Measuring performance of marketing initiatives, ads, and websites “powered by” another company on our behalf.
  • Security, fraud detection, and monitoring malicious activity or abuse of the Website.
  • Monitoring functionality, debugging, or error repair.
  • Ensuring the physical security of our premises through the monitoring of surveillance images.
  • Efforts to resolve disputes, to protect the rights, safety and interests of ourselves, our Users or others, and to comply with legal obligations.
  • Performing quality control and ensuring compliance with our policies and procedures.
  • Development and improvement to our products and services.
